These Terms of Use constitute an agreement between the user (“you” or “your”) and Developing Mathematical Thinking Institute, Inc, (“Developing Mathematical Thinking Institute, Inc.” or “we” or “us”, “our”). Your use of the dmtinstitute.com website (the “Site”) means you have read, understood, and consent to these terms of use, including our Privacy Policy located at which is incorporated herein by reference (collectively, the “Terms”). If you are under 18 years of age (or the age of legal majority where you live), you may use our Site and services only under the supervision of a parent or legal guardian who agrees to be bound by these Terms. In using the Site, you may provide to us or we may collect from you certain information, and the nature of that information and what we do with that information is governed by our Privacy Policy. In order for us to provide our Site and services, you acknowledge that we may process, transfer and store information about you in the United States and other countries, where you may not have the same rights and protections as you do under local law. ACCESS TO THE SITE

You may only use the Site in accordance with the Terms. These Terms are effective for the duration of your access to the Site. Your right to use the Site will terminate immediately if you breach the Terms. We reserve the right to suspend or terminate your access to the restricted access portions of the Site immediately without notice, if in our sole discretion you fail to comply with any term or provision of these Terms, if you infringe, misappropriate or otherwise violate any third party's rights, or if you engage in conduct that is illegal, tortious or that interferes with the technological operation of this site, or for any other reason in our sole discretion. Upon termination, you must destroy all materials obtained from this Site and all copies thereof, whether made under these Terms or otherwise. Except for the rights expressly granted herein, we reserve all other rights and no other rights, licenses, or permissions are granted by implication or otherwise.

You should assume that everything on the Site is copyrighted unless otherwise indicated and that it must not be used except as provided in the Terms or with the express written consent of Developing Mathematical Thinking Institute, Inc. All photos, images, and text on the Site, together with the design and layout of the Site, are copyrighted and may not be used without our written permission. All intellectual property rights in the Site and in any content of the Site (including, but not limited to, text, graphics, design, layout, software, photographs, and other images, videos, sound, trademarks and logos) are owned by Developing Mathematical Thinking Institute, Inc. or our third-party licensors. Except as expressly set forth herein, nothing in the Terms gives you any rights in or to any intellectual property owned by us or our licensors and you acknowledge that you do not acquire any ownership rights by downloading or using the Site. 

No part of the Site or any materials therefrom may be printed, copied, reproduced, republished, uploaded, posted, transmitted, or distributed by you in any way, except:

(i) you may download one copy of the materials that are expressly designated for such use on any single computer and maintain such copy for your personal non-commercial use for up to one year; and

(ii) if you are a teacher, you may print or photocopy the materials that are expressly designated for such use in a quantity that is reasonably necessary for use in your classroom.

If you print, copy, or store any part of the Site, including any material available on the Site, you must ensure that any copyright, trademark, or other intellectual property right notices contained in the original content are reproduced. No pages, sheets, or other materials made available on the Site may be sold or commercially exploited, or otherwise distributed (except as expressly provided above), whether in whole or in part. Modification of the materials or use of the materials for any purpose is prohibited. 

You may not copy or use the names, trademarks, logos, or brands of Developing Mathematical Thinking Institute, Inc. or those of any of its affiliates or partners, in part, in modified form, or otherwise. Derogatory, harmful or unlawful conduct is not permitted on this Site. You are not permitted to upload to, distribute through, or otherwise publish through this Site any content which is libelous, defamatory, obscene, pornographic, threatening, invasive of privacy or publicity rights, abusive, illegal or otherwise objectionable, that would constitute or encourage a criminal offense, violate the rights of any party, or that would otherwise give rise to liability or violate any law. Unauthorized commercial messages and/or public announcements are not allowed on this Site.

In addition, you may not, and will not attempt to:

  • use this Site for any purpose that is prohibited by any law or regulation, or to facilitate the violation of any law or regulation;
  • impersonate or misrepresent your affiliation with any person or entity;

INDEMNIFICATION

You will indemnify, defend and hold harmless Developing Mathematical Thinking Institute, Inc., its affiliates, parents, subsidiaries, and divisions, and all of their officers, directors, employees, and agents, from and against any claims, demands, causes of action, judgments, damages, losses, liabilities, and all costs and expenses of defense (including, without limitation, reasonable attorneys' and other legal fees and costs) (“Claims”) arising out of or relating to: (1) your violation of these Terms of use or any law, rule or regulation; (2) your access or use of this Site or any content therefrom; or (3) any material uploaded by you or through your computer to this Site or otherwise sent by you to Developing Mathematical Thinking Institute, Inc, including with respect to any allegations that your material violates, misappropriates, or infringes any rights of another (including intellectual property rights or privacy rights), and any allegation that you did not have the appropriate authorizations, approvals or consents to upload or send such material. You must promptly notify Developing Mathematical Thinking Institute, Inc. of any Claims, cooperate with Developing Mathematical Thinking Institute, Inc. in defending such Claims and pay all fees, costs and expenses associated with defending such Claims (including, but not limited to, attorneys' fees). You acknowledge that, at its sole option, the Developing Mathematical Thinking Institute, Inc. will have control of the defense or settlement of any Claims, in which case you will cooperate as reasonably required by Developing Mathematical Thinking Institute, Inc. in the defense of any Claim.

This Site is controlled and operated by Developing Mathematical Thinking Institute, Inc. from its offices in Idaho or other locations in the United States of America.
